Otto App & Device Terms

How you may use the Otto app, your Otto and the services it connects to.

About these terms

These terms are an agreement between you and The Tokenry, Inc., a Delaware corporation (“The Tokenry,” “we,” “us”). They cover the Otto apps for phone, desktop and web, Otto OS (the software that runs on your Otto), your Otto account, the AI gateway and AI credits, and the connections that let your assistant work in your other apps. Together we call these the “services.”

They do not cover buying Otto hardware. Orders, shipping, returns and the hardware itself are covered by the Terms of Service. How we handle information is described in the Otto App & Device Privacy Policy.

You accept these terms when you agree to them in the Otto app or use the services. If you do not agree, do not use the services. Your Otto is still yours: it is a general-purpose computer, the app is not required to operate it, and the hardware remains yours whether or not you use our services.

Your account

You must be at least 18 years old, or the age of legal majority where you live, to create an account.
Give us accurate information and keep it current.
Keep your sign-in methods, passkeys and recovery phrase secure. We never receive your recovery phrase and cannot reset it for you.
You are responsible for activity under your account and on your Otto. Tell us promptly at [support@myotto.ai](mailto:support@myotto.ai) if you believe someone else has access.
An Otto has one owner account at a time, and pairing makes you its owner. When ownership of an Otto changes, the previous owner’s data on it is erased.

What Otto does

Otto is an AI assistant that runs on your own device. At your direction it can hold conversations, remember context, browse the web, work with files and run commands on your Otto, run automations on a schedule, and take actions in the apps you connect.

You decide how much it may do without asking. Actions follow your approval settings, standing permissions and automation permissions. When Otto asks for approval, read the request before you approve it: an approval is your instruction to proceed.

Otto keeps working when the app is closed. Automations and background tasks run on your Otto under the permissions you set, and they use AI credits or your own provider key like any other request.

AI output

Otto uses AI models, and AI models make mistakes. Output can be inaccurate, incomplete or out of date, and an action can have results you did not intend.

Check important output and actions before relying on them.
Otto is not a substitute for professional advice. Do not rely on it for medical, legal, financial or safety decisions.
Do not use Otto where an error could lead to death, injury, or serious physical or environmental damage.
Similar output may be produced for other people.

The models available through the services can change, and a model may be withdrawn or replaced.

Acting in connected apps

Connections are optional. When you connect an account — for example Google, GitHub, another app in the catalog, or a custom API or MCP server — you authorize Otto to access that service and act in it on your behalf, within the access you grant and your approval settings.

Actions Otto takes in a connected service are taken as you. Depending on the access you grant, that can include reading, sending, creating, changing and deleting things such as messages, files and calendar events.

Connect only accounts you have the right to use this way. A work or school account may need your organization’s permission.
You remain bound by each service’s own terms, and you are responsible for following them.
Connected services are operated by other companies. We do not control them and are not responsible for them. They can change or withdraw access at any time, and a connection may stop working as a result.
You can disconnect a service in the app at any time. Disconnecting stops future access. It does not undo actions already taken or erase information already retrieved.

Our use of information received from Google APIs is limited as described in the Privacy Policy.

Your responsibility

You are responsible for:

What you ask Otto to do, the automations you set up and the approvals you give.
The content you provide, and having the rights needed to provide it.
The accounts and services you connect, and how you use the information of other people that is in them.
The cost of the AI usage your conversations, background tasks and automations incur, within the spending limits you set.
Keeping your own copies of anything important. Your Otto stores your conversations, files and agent memory locally, and we do not operate a cloud backup of them.

Acceptable use

Do not use the services, or direct Otto, to:

Violate any applicable law or regulation.
Infringe the intellectual property, privacy or other rights of others.
Distribute malware or spam, or engage in phishing or fraud.
Harass, threaten or harm any person, or exploit or endanger children.
Gain or attempt unauthorized access to any account, system or network, or act in an account without its owner’s authorization.
Send bulk or unsolicited messages, or automate activity in a connected service in a way its terms prohibit.
Use AI models in ways their providers prohibit. Requests sent through our AI gateway are also subject to the usage policies of the model provider that handles them.
Resell, share or provide access to the AI gateway or your AI credits to anyone else, or use the gateway other than through your Otto and the Otto apps.
Interfere with, overload or probe the services, or bypass spending limits, security features or other safeguards.

Your Otto is your computer. These rules apply to our apps and cloud services and to what you direct the assistant to do through them. They do not restrict other lawful use of your hardware.

We may suspend or end access to the services for a violation, and where practical we will tell you why. The hardware remains yours regardless.

Your content

You keep ownership of what you give Otto — your prompts, files and the information in your connected accounts — and, as between you and us, of the output it produces for you. We claim no ownership of either.

You give us permission to process that content only as needed to provide the services: to route it between your app, your Otto and the model providers and connected services your tasks use, as described in the Privacy Policy. Chat between the Otto app and your Otto is end-to-end encrypted, and our relay cannot read it.

We do not use your conversations, files or connected-account information to train AI models. Model providers handle the requests they receive under their own terms.

If you send us feedback or suggestions, we may use them without obligation to you.

AI credits and payments

Requests through our AI gateway are paid for from a prepaid AI-credit balance on your account.

**Rates.** Usage is charged at the rates shown in the app, which reflect the model provider’s price plus our margin. Provider prices can change at any time. We will give at least 30 days’ notice before increasing our margin.
**Prepaid and non-refundable.** Credits are prepaid and are not refundable, except where the law requires otherwise. They have no cash value, cannot be transferred, and can be used only for the services.
**Expiry.** Purchased credits expire 365 days after purchase. Promotional or complimentary credits expire 90 days after they are granted unless we state otherwise. Credits closest to expiring are used first.
**Auto-refill.** If you turn on auto-refill, you authorize us to charge your saved payment method the amount you chose each time your balance falls below the threshold you set, until you turn it off.
**Running out.** When your balance reaches zero, requests through the gateway pause until you add funds.
**Payments and tax.** Payments are processed by Stripe. Prices exclude taxes unless stated, and applicable tax is added at checkout.
**Your own keys.** If you use your own model-provider key, that provider bills you directly under your agreement with them, and we do not charge for that usage.
**Pricing changes.** If we start charging for a part of the services that is free today, we will tell you at least 30 days before the charge applies.

Software and updates

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Otto apps and Otto OS with the services. Otto OS includes open-source software, including OpenClaw and Linux, that is licensed to you under its own terms; nothing here limits your rights under those licenses. Except where those licenses or the law allow, do not copy, modify, distribute or reverse engineer the Otto apps or our cloud services.

Otto OS and the apps update automatically. Updates are signed, and they can add, change or remove features. Some updates are required to keep using the services.

Availability and changes to the services

The services depend on networks, model providers and connected services we do not control. We work to keep them available, but we do not promise they will be uninterrupted or error-free. We may change, suspend or discontinue features of the services.

Ending your use

You can stop using the services at any time, and you can delete your account in the Otto app. Deletion follows the process described in the Privacy Policy, and any remaining AI credits are forfeited when the account is deleted.

We may suspend or end your access if you violate these terms, if the law requires it, or if your use creates risk or harm to other people or to the services. The sections on payments, disclaimers, limitation of liability and disputes continue to apply after your use ends.

Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Otto runs third-party software, including OpenClaw, and uses cloud-based AI model services. We are not responsible for the actions, output or failures of the AI agents you run, or for the availability or performance of third-party APIs and services.

Some places do not allow these exclusions, so they may not apply to you, and nothing in these terms affects rights you have by law that cannot be waived. Any warranty for the hardware is described in the Terms of Service.

Limitation of liability

To the maximum extent permitted by law, The Tokenry shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses resulting from your use of the services.

Our total liability for any claim arising from these terms or your use of the services shall not exceed the greater of the amount you paid us for the services in the twelve months before the claim, or US $100.

Nothing in these terms limits liability that cannot be limited by law.

Governing law and disputes

If you have a concern, contact us first at support@myotto.ai and we will try to resolve it with you.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising under these terms shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you and we consent to the jurisdiction of those courts. If you are a consumer living outside the United States, you may also have the protection of the mandatory laws of the country where you live, and you may bring a claim in its courts where those laws allow.

Changes to these terms

We may update these terms. When a change is material, we will ask you to review and accept the updated terms in the Otto app before you continue using it. Your Otto, its automations and its connections keep running while you decide, and you can sign out or delete your account from that screen instead.

Other changes, such as clarifications and corrections, take effect when they are posted. The effective date shown with these terms indicates when they were last revised, and earlier versions are available on request.

App stores

If you downloaded an Otto app from the Apple App Store or Google Play, that store’s own terms also apply to the download. For an app obtained from Apple:

These terms are between you and The Tokenry, not Apple. Apple is not responsible for the app or its content, and has no obligation to provide maintenance or support for it.
If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
Apple is not responsible for addressing claims relating to the app or your use of it, including product liability, legal or regulatory compliance, consumer protection or intellectual property claims.
Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you as they relate to your license of the app.

General

You may not use the services if you are located in a country subject to a United States government embargo, or if you are on a United States government list of prohibited or restricted parties.
These terms, with the documents they link to, are the entire agreement between you and us about the services. For hardware purchases, the Terms of Service also apply.
If a part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it.
You may not transfer your rights under these terms. We may transfer ours as part of a merger, acquisition or sale of assets.
We may send you notices by email or in the Otto app.
